Terms of Service

The agreement between you and Local SEO Skills. Plain English where we can manage it.

These Terms of Service ("Terms") govern your use of Local SEO Skills, the SaaS application at localseoskills.com, including the AI assistant, briefs, scheduled tasks, deliverables, and related features (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

"We," "us," and "Local SEO Skills" refer to the operator of the Service. "You" refers to the person using it; if you are using the Service on behalf of an agency, employer, or client, you confirm you are authorized to bind that entity to these Terms.

1. What the Service does

Local SEO Skills is an AI assistant for local SEO work. It uses Anthropic's Claude models to help you plan, audit, and run local SEO programs. You record information about your clients in briefs; you ask the assistant questions; the assistant calls third-party data providers (such as Google Business Profile data via the Local SEO Data MCP server) and produces analyses, recommendations, and saved deliverables. You can configure scheduled tasks that run on a cadence and notifications that fire by email.

The Service depends on third-party APIs and data sources we do not control. We do our best to keep everything reliable, but we cannot guarantee that any specific upstream tool, model, or data feed will always be available or accurate.

2. Eligibility and accounts

  • You must be at least 18 years old to use the Service.
  • You must provide accurate sign-up information and keep it current.
  • You are responsible for everything that happens under your account, including activity by your team members or by automations you configure.
  • Keep your sign-in credentials safe. If you suspect unauthorized use, email legal@localseoskills.com right away.

3. Acceptable use

While using the Service, you agree not to:

  • Reverse engineer, scrape, or otherwise harvest content or data from the Service except through features we expose for that purpose.
  • Resell, sublicense, or repackage the Service as your own product without our written permission. (Using the Service to deliver client work for your agency is fine and expected — that is the whole point.)
  • Run abusive automation against the Service — for example, hammering the chat endpoint to bypass plan limits, generating workloads designed to exhaust shared resources, or automating in a way that violates our upstream providers' terms.
  • Use the Service for anything illegal, deceptive, defamatory, or designed to deceive search engines beyond accepted local SEO practice (no fake reviews, no misrepresenting business locations, no spammy mass-citation submissions).
  • Upload content that infringes someone else's intellectual property or privacy rights.
  • Probe, scan, or test the vulnerability of the Service without coordinating with us through the contact address below.
  • Try to access another customer's data or interfere with the operation of the Service.

We may suspend or terminate accounts that violate this section, and may remove content that does, with or without notice depending on severity.

4. Your content and data

You own the content you put into the Service — your briefs, brief learnings, chat inputs, and deliverables — and you own the outputs the assistant generates for you, to the extent the law allows. We do not claim a license to use your content for advertising or to train AI models.

You grant us a limited license to host, copy, transmit, display, and process your content as needed to operate the Service for you, including sending it to the sub-processors listed in our Privacy Policy (Anthropic, Local SEO Data, Resend, Vercel, Neon, Better Auth, Upstash QStash). That license ends when you delete the content or close your account, subject to short retention windows for backups.

You are responsible for making sure you have the right to put a given client's information into the Service — for example, that your engagement contract with the client allows you to use third-party tools and AI vendors in the course of your work.

5. AI output disclaimer

The assistant produces drafts, recommendations, and analyses generated by an AI model based on the data it has access to. AI output can be wrong, out of date, or misleading. You are responsible for reviewing anything the assistant produces before relying on it, sending it to a client, publishing it, or executing on it (for example, before posting a review response or pushing a change to a Google Business Profile). Treat the assistant as a sharp junior teammate, not a system of record.

6. Subscription, billing, and free use

The Service has a free tier and paid plans (see pricing). Paid plans are not yet live in production. Once paid plans are enabled:

  • You agree to the plan, billing cadence, and overage rates shown at sign-up.
  • Subscriptions auto-renew until you cancel from your account settings; you can cancel at any time and keep access through the end of the current billing period.
  • Fees are non-refundable except as required by law or as described on the pricing page (for example, prorated refunds for annual plans canceled within 30 days).
  • If you have a paid subscription, the billing terms shown on your plan and at checkout apply to that subscription.
  • We may change prices on a going-forward basis with at least 30 days' notice; existing paid subscriptions keep their pricing through the end of the current billing period.

Payment processing will be handled by Stripe once paid plans go live.

7. Our intellectual property

We own the Service — the platform, the user interface, our skills, our prompts, our documentation, the marketing site, and the underlying code. Nothing in these Terms transfers any of that to you. You may use the Service to do your work and produce client deliverables, but you may not copy our platform, our UI, or our skill library and present them as your own.

8. Feedback

If you send us suggestions, ideas, or feature requests, we can use them without obligation to you. We will not publicly attribute private feedback without permission.

9. Termination

You can cancel your account at any time from your account settings. We can suspend or terminate your access if you violate these Terms, if your account creates security or legal risk for the Service or other users, or if we are required to by law. We will give you reasonable notice when we can. After termination, we will delete or anonymize your content per the retention schedule in our Privacy Policy.

10. Service changes

We are an actively developed product. We will add features, change features, and occasionally remove features that are not working out. For changes that materially reduce functionality on a paid plan, we will give notice and, where appropriate, a credit or refund.

11. Disclaimers

The Service is provided "as is" and "as available." To the fullest extent allowed by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate or fit for any particular use, or that third-party data feeds (Google Business Profile data, SERP data, geogrid scans, etc.) will be complete or current.

12. Limitation of liability

To the fullest extent allowed by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data. Our total liability for any claim arising out of or relating to these Terms or the Service is limited to the greater of (a) the amount you paid us in the 12 months before the claim arose, or (b) USD $100. Some jurisdictions do not allow these limits; in those places, the limits apply to the maximum extent permitted.

13. Indemnification

You will defend and indemnify Local SEO Skills against third-party claims arising from your content, your use of the Service in violation of these Terms, or your violation of someone else's rights.

14. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict of laws rules. Disputes will be brought in the state or federal courts located in Delaware, and both parties consent to that jurisdiction. If you are a consumer in a jurisdiction that grants you the right to bring claims locally, this section does not override that right.

15. Changes to these Terms

If we make material changes, we will update the "Last updated" date and notify active users by email or in-app message before the change takes effect. Continued use of the Service after changes go live means you accept them. If you do not accept the new Terms, stop using the Service.

16. Miscellaneous

If any part of these Terms is found unenforceable, the rest stays in force. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with the Privacy Policy and any plan-specific terms shown at checkout, are the entire agreement between you and us about the Service.
